We are currently recruiting for a Head of Board Governance & Operations to be a part of our phenomenal Corporate Governance function! This is a great opportunity to showcase your skills and experience through the delivery of outstanding plc board and committee governance and company secretarial operations and support.
A bit about the job:
The Company Secretarial function is a core Aviva team providing high quality corporate governance and company secretarial support and advice across the Aviva Group board and committees. As the Head of Board Governance & Operations (reporting into the Deputy Company Secretary), you will be responsible for leading on corporate governance advice and assurance, and delivering timely and value adding company secretarial services.
In addition to acting as secretary to a plc board committee, you will take the lead in board governance activities including director appointments, induction and training, the board evaluation and maintaining appropriate terms of reference, along with leading the delivery of timely and value adding company secretarial advice and support to the Aviva plc board, its committees and directors, and senior managers as applicable. This will include coordinating team members in delivering operationally excellent board support.
You will also provide advice on corporate governance and company secretarial matters, assist with the compliance with applicable corporate governance requirements, corporate law and regulation, and implementation and enforcement of governance and best practice policies and procedures.
This is truly an exciting role at the heart of the Group function, leading the board governance agenda, engaging with Directors and senior stakeholders across the business and acting as secretary to a board committee.
This role could be ideal for you if you enjoy monitoring the corporate governance and company secretarial landscape, acting as a source of guidance and input into the development of corporate governance practices, and providing advice on the business impact.
Skills and experience we’re looking for:
- Strong experience delivering high-quality Corporate Governance Services, preferably within a FTSE100/250 organisation and ideally within the listed financial services industry/regulated environment. Fellow/Associate of the Chartered Governance Institute (FCIS/ACIS) or qualified lawyer
- Extensive experience delivering high-quality Company Secretarial and Corporate Governance support in a fast-paced environment. Proficient working knowledge of the regulatory environment in a financial services context would be highly desirable.
- Strong stakeholder management and engagement experience at all levels, particularly with executive and non-executive board directors. Comfortable with supporting, advising and training directors within the business area to ensure that statutory duties are discharged effectively.
- Proven extensive minute writing experience (ideally within a regulated environment) and producing other governance documents to a high standard and accurately.
- Proven experience in leading, motivating and developing a high performing team.

- Salary circa £135,000 (depending on location, skills, experience, and qualifications)
