Director – M&A & Transaction Solutions, London (Fixed Term Contract)

Aon’s Mergers & Acquisitions team (AMATS) is seeking a Director to join them on a 12-month Fixed Term contract. The successful candidate will lead the design, structuring, and placing of complex insurance programs and innovative and effective solutions in high-quality cases through the use of insurance capital, usually in an M&A scenario.
This would be an interesting role for a senior lawyer wanting to make a move to a more commercial role, their likely background being in M&A.

What the day will look like
- Executing with excellence on W&I and other Transaction Solutions products
- Using your own personal professional network to build on deal flow opportunities.
- Acting as a sector subject matter expert to support other client teams develop relationships, win, and deliver engagements, especially within the Financial Sponsor and Corporate space
- Building a strong internal network to unlock client opportunities and facilitate the delivery of exceptional client service
- Driving placement efficiencies and strategic insurer engagements through managing the delivery of high-quality client service and deliverables
- Managing trusted insurer relationships

How this opportunity is different
The AMATS team provides both deal advisory services and a wide range of transaction solutions to clients undertaking M&A activity across UK and EMEA. The Pan-European team has grown rapidly in the last four years with around 70-80 colleagues in the UK and 250 across EMEA. The team has a diverse range of backgrounds including investment bankers, Big 4, lawyers, actuaries, plus technical specialists including insurance.
The team’s focus is across two core strategies. Firstly, to be the leading provider of specialist Transaction Advisory Services (TAS). In addition to Financial Lines, we have specialist capability in Risk and Insurance, Cyber Security, Human Capital, Intellectual Property and ESG.
Our Transactions Solutions (TS) capabilities deliver structured risk transfer instruments covering Warranty & Indemnity insurance and a range of risk transfer solutions for tax, litigation plus other contingent risks. Finally, we arrange credit/bonding solutions to enable clients to optimise their capital structure.
We have dedicated coverage teams across Financial Sponsors (PE and Infrastructure), Corporates plus Professional Advisors (Investment Banks, Lawyers, Big 4). We support clients across a wide range of transactions including typical buy and sell-side deals, carve-outs, public market transactions (IPO and P2P), distressed M&A plus secondary market deals. Our mix of deals include both UK domestic and international transactions covering the full valuation range from the largest, most complex multi-billion deals to sub-£50m transactions. We also support our financial sponsor clients with portfolio enhancement and optimisation.
Skills and experience that will lead to success
- Proven experience in Transaction Solutions, including representations & warranties/warranty & indemnity insurance, tax liability.
- Legal qualifications would be highly advantageous.
- Previous experience in managing relationships with insurers and clients.
- Some project management responsibilities in current or previous roles.
- Track record of working across different European markets would be an advantage.
